Hi to all,

98 will be the third Atari 8 Bit Fair in Schreiersgruen held.
Schreiersgruen is a little city in East-Germany near Zwickau.

The fair is held on the 21th of March 98. The place is the same as
every year ( Wirtshaus Schreiersgruen ). We had at the last 2 years
about 150 visitors and 20 trader. The people are very interested
in the Atari 8 Bit hard- and software.

At the fair will be the following people:

-RAF a regional group of the ABBUC.
They make the SIO2PC Interface, XFormer cable, 2-Computer Interface,
new power units for XL & 1050 and sell their do-it-yourself-kits.

-Highlander a Turbo Basic coder.
He has coded man utilities and nice little programms for many tasks.

-Charlie Chaplin a writer for german Atari 8 Bit mags.
He has a graet stock of new (old) games like Fight Night, Solar Star,
Dropezone, Antic Greatest... Also a great range of PD and Polensoft (
only one of many games ).

-Me hardware fanatic
I will bring a little Atari 8 Bit chip libary to the fair, some soft 
( Infocom Seastalker an others, EA Great American , SSI ... ). 1050,
Floppy 2000, some Lynx and Jag stuff.

Possible but not sure:

-KE-Soft greatest Atari 8 Bit trader
He imports many prototypes and has the greatest Atari 8 Bit stock 
in germany.

-Kaisersoft imports the most new Polen/Tzech software
When he is still alive, his last Top Mag issue has been out a half 
year ago.

         MANAGEMENT DISCUSSION AND ANALYSIS OF FINANCIAL CONDITION
                         AND RESULTS OF OPERATIONS

On July 30, 1996, Atari Corporation ("Atari") was merged into JTS
Corporation ("JTS" or the "Company") and subsequent to the merger the
company changed its fiscal year from a 52/53 week fiscal year ending on the
Saturday closest to December 31 to a 52/53 week fiscal year ending on the
Sunday closest to January 31. The merger was accounted for as a purchase of
JTS by Atari and as such, the historical balance sheets and the statements
of operations for the three months in the prior year include Atari only.

The unaudited pro forma condensed combined statements of operations included
in footnote two to the financial statements give effect to the merger as if
the acquisition were completed at the beginning of the first quarter of
1996. The following discussion and analysis is based on these pro forma
condensed combined statements for the prior year which combine the
historical results of operations of Atari for the nine months ended
September 30, 1996 with the JTS unaudited pro forma combined results of
operations for the nine months ended October 27, 1996 respectively, and for
the current year which reflects the actual results of the merged company for
the nine month period ended November 2, 1997. The liquidity and capital
resources discussion and analysis is based on the unaudited balance sheet of
the merged company as of November 2, 1997. Throughout this discussion,
"fiscal 1998" refers to the fiscal year ending February 1, 1998.

Since August 1995, when the Company commenced operating as a disk drive
company, the Company's quarterly revenues have fluctuated significantly. The
Company has generally been unable to obtain positive gross margins, and the
Company has incurred significant losses in every quarter. During most of
fiscal 1998, the Company has operated without adequate working capital,
which has had a negative impact on its business, especially at a time when
market conditions in the hard disk drive industry have been extremely
adverse, and thus have favored the better capitalized competitors.

JTS AND ATARI BACKGROUND

The most significant portion of the Company's business today is its disk
drive division which designs, manufactures and markets hard disk drives for
use in desktop personal computers. The Company markets its disk drives to
original equipment manufacturers ("OEMs"), computer companies and
second-tier systems integrators for incorporation into their computer
systems and subsystems, as well as to distributors who resell the product to
small integrators and through retail channels. The Company sells its
products through a direct sales force operating throughout the United
States, Europe and Asia, as well as through distributors in the United
States, Europe, Latin America and Canada.

JTS was incorporated in February 1994 and remained in the development stage
until October 1995, when it began shipping its disk drives to customers in
the United States and Europe. All of JTS' products are manufactured in
Chenai (Madras), India by its subsidiary, JTS Technology Ltd. (formerly
Modular Electronics (India) Pvt. Ltd.), which was acquired in April 1996 and
employs over 5,500 individuals. Since its inception, JTS has incurred
significant losses which have resulted from the substantial costs associated
with the design, development and marketing of new products, the
establishment of manufacturing operations and the development of a supplier
base.

RESULTS OF OPERATIONS FOR THE THREE MONTHS ENDED NOVEMBER 2, 1997 COMPARED
TO

THE JTS AND ATARI ACTUAL COMBINED RESULTS OF OPERATIONS FOR THE THREE MONTHS

ENDED OCTOBER 27, 1996.

Revenues for the three months ended November 2, 1997 were $24 million.
Revenues from the disk drive division decreased from $32.1 million for the
same quarter in the prior year to $23.8 million for the current quarter.
This revenue decrease from lower volumes combined with lower average selling
price per drive in the current quarter. During the quarter ended November 2,
1997 the Company shipped 201,000 disk drives, which primarily consisting of
the 3.5-inch drives, in capacities ranging from 1 gigabyte to 4.3 gigabytes.
The revenue recognized by the Company is after any adjustment required for
excess inventory held by distributors.

Sales to the top five customers for the three months ended November 2, 1997
were 42% of net sales and one customer had sales greater than 10% of total
net sales for the three month period. The Atari division revenues including
royalty income for the current quarter amounted to $0.2 million. Revenues
for the third quarter in the previous year totaled $33.3 million and
included approximately $1.2 million of Atari revenues.

The gross margin loss for the three month period ended November 2, 1997 was
$9.3 million compared to a deficit of $1.6 million for the third quarter of
the prior year. The portion of the current quarter's gross margin
attributable to the disk drive division was $9.5 million compared to a
deficit of $1.7 million incurred by the disk drive division in the three
month period ended October 27, 1996. The decline in the gross margin
resulted from the significant decrease in market prices for all disk drive
capacities though particularly the higher capacity drives in conjunction
with the write down of smaller capacity drives and the related production
materials on hand. The gross margin for the Atari division for the current
quarter ended November 2, 1997 was $0.2 million compared to $0.1 million for
the three month period ended October 27, 1996. The improvement in the gross
margin results from increased royalty revenue during the quarter.

Research and development expense for the three months ended November 2, 1997
was $3.8 million compared to research and development expenses of $5.7
million for the third quarter in the prior year. The quarter over quarter
decrease for the disk drive division was $1.9 million, and was primarily
attributed to reductions in engineering staffing and suspension of support
for the 3-inch disk drive product. The Atari division research and
development programs were eliminated in the third quarter of the prior year.
The Company expects that research and development expenses will continue to
decrease throughout fiscal 1998 in absolute dollars and decrease as a
percent of sales.

Selling, general and administrative expenses for the three months ended
November 2, 1997 were $4.0 million, compared to $3.9 million selling,
general administrative expenses incurred during the third quarter of the
previous year. The expenses associated with the disk drive division
increased from $2.7 million to $3.8 million primarily resulting from the
increased infrastructure associated with the expansion of the division. JTS
expects that selling, general and administrative expenses will decrease
marginally through the remainder of fiscal 1998 in absolute dollars and that
such expenses will decline as a percentage of revenues.

Repositioning charge of $38.0 million during the current quarter was related
to the Company's decision to suspend support for the 3-inch mobile disk
drive and consisted of $15.8 of goodwill, $17.9 million of existing
technology, $1.8 million of capital assets, and $2.5 million of inventory
commitments.

RESULTS OF OPERATIONS FOR THE NINE MONTHS ENDED NOVEMBER 2, 1997 COMPARED TO
THE

JTS AND ATARI PRO FORMA COMBINED RESULTS OF OPERATIONS FOR THE NINE MONTHS
ENDED

OCTOBER 27, 1996.

Revenues for the nine months ended November 2, 1997 were $125.8 million.
Revenues from the disk drive division increased from $65.8 million for the
same period in the prior year to $124.1 million in the first nine months of
fiscal 1998. This increase in revenue is primarily the result of higher
shipment volumes in the current year to OEMs, small system integrators, and
distributors. For the nine months ended November 2, 1997 the Company shipped
1,052,000 disk drives, which primarily consisting of the 3.5-inch drives, in
capacities ranging from 1 gigabyte to 4.3 gigabytes.

Sales to the top five customers for the nine months ended November 2, 1997
were 37.3% of net sales and 1 customer had sales greater than 10% of total
net sales for the nine month period. The Atari division revenues including
royalty income for the first three quarters amounted to $1.7 million. Pro
forma combined revenues for the first nine months in the previous year
totaled $68.8 million and included approximately $3.0 million of Atari
revenues recorded for the nine month period ended October 27, 1996.

The gross margin loss for the nine month period ended November 2, 1997 was
of $48.3 million compared to a deficit of $15 million on a pro forma basis
for the first three quarters in the prior year. The portion of the current
year to date gross margin deficit attributable to the disk drive division
was $50.0 million compared to a deficit of $12.7 million incurred by the
disk drive division in the first nine months of financial 1996. The decline
in the gross margin resulted from the significant decrease in market prices
for all disk drive capacities in conjunction with significant write down of
obsolete and surplus drives, and the related production materials on hand.
The gross margin for the Atari division for the nine months ended November
2, 1997 was $1.7 million compared to a deficit of $2.3 million for the nine
month period ended September 30, 1996. The improvement in the gross margin
results from the sales of the Jaguar product and inventory write offs
included in the first quarter of the prior year and the impact of royalty
agreements signed during the first quarter of 1998.

Research and development expense for the first nine months ended November 2,
1997 was $15.9 million compared to research and development expenses on a
pro forma basis of $20.7 million for the first nine months of the prior
year. The period over period decrease for the disk drive division was $4.2
million, and was primarily attributed to reductions in engineering staffing
and higher development material expenditures in the prior year to support
the development of new hard disk drive platforms. The Atari division
experienced a quarter over quarter decline in research and development
expenses of $0.6 million due to the elimination of the game development
team. The Company expects that research and development expenses will
continue to decrease throughout fiscal 1998 in absolute dollars and decrease
as a percent of sales.

Selling, general and administrative expenses for the nine months ended
November 2, 1997 were $17.5 million, including $16.6 million from the disk
drive division, compared to $15.4 million pro forma selling, general
administrative expenses incurred during the first nine months of the
previous year which included $9.5 million from the disk drive division. The
$7.1 million increase incurred by the disk drive division resulted primarily
from increases in the provision for bad and doubtful debts, an increase in
over all staff numbers associated with the growth of the Company and
increased sales and marketing programs focusing on increasing sales through
the distribution channel to the end user. Selling, general and
administrative expenses for the Atari division declined $5 million as a
result of staff reductions, reduced rent and other reductions in operating
costs for the division. JTS expects that selling, general and administrative
expenses will decrease marginally through the remainder of fiscal 1998 in
absolute dollars but that such expenses will decline as a percentage of
revenues.

the Company's decision to suspend support for the 3-inch mobile disk drive
and consisted of $15.8 of goodwill, $17.9 million of existing technology,
$1.8 million of capital assets, and $2.5 million of inventory commitments.

LIQUIDITY AND CAPITAL RESOURCES

At November 2, 1997, JTS had cash and cash equivalents of $2 million, a
working capital deficit of $79.3 million and a negative net worth of $104.8
million.

At November 2, 1997, total debt, including bank credit lines and notes
payable was $64.3 million. This included $4.7 million of working capital
loans outstanding between JTS Technology and three Indian banks at an
interest rate of 12% as of November 2, 1997. In addition, the above amount
includes term loan facilities with the Industrial Credit and Investment
Corporation of India Limited (ICICI) and the Shipping Credit and Investment
Corporation of India Limited (SICI) in the amount of $12.9 million at
interest rates of LIBOR plus 2.75% and LIBOR plus 4%, respectively. At
November 2, 1997, JTS Technology's borrowings under these term loan
facilities were $12 million. The loans are repayable quarterly, commencing
at various points in time in fiscal 1998 and 1999 with final payments
through to 2002. Amounts borrowed under these loan agreements have been used
for working capital purposes, tooling, facilities expansion and purchases of
capital equipment.

At November 2, 1997, the Company had $42.4 million of 5 1/4% convertible
subordinated debentures due April 29, 2002, which had been issued in 1987 by
Atari Corporation. The debentures pay interest annually, each April, with
the next interest payment due in April 1998.

JTS cannot assure that any level of future revenues will be attained or that
JTS will achieve or maintain successful operations in the future. The
Company's accounts receivable are heavily concentrated with a small number
of customers. If any large customer of the Company became unable to pay its
debts to the Company, liquidity would be adversely affected. In the event
the Company is unable to increase sales or maintain production yields at
acceptable levels there would be a significant adverse impact on liquidity.
This would require the Company to either obtain additional capital from
external sources or to curtail its capital, research and development and
working capital expenditures. Such curtailment could adversely affect the
Company's operations and competitive position.

The Company will need significant additional financing resources over the
next several years for facilities expansion, capital expenditures, working
capital, research and development and vendor tooling. In addition,
significant cash resources will be required to fund purchases of inventory
needed to achieve anticipated sales levels. Failure to receive such cash
resources will negatively impact the Company's ability to manufacture its
products at required levels.

The Company anticipates that it will require additional funds to finance its
growth. The precise amount and timing of the Company's funding needs cannot
be determined at this time, and will depend upon a number of factors,
including the market demand for the purchase of its products, the progress
of the Company's product development efforts and the Company's inventory and
accounts receivable management. The Company currently expects that it would
seek to obtain such funds from additional borrowing arrangements and/or
private or public offerings of debt and equity securities. There can be no
assurance that funds required by the Company in the future will be available
on terms satisfactory to the Company or at all.

As of November 2, 1997, the Company has Federal and State net operating loss
("NOL") carryforwards of approximately $250 million and $94 million,
respectively, and Federal and State research and development tax credit
carryforwards of approximately $2.1 million and $1.0 million, respectively,
all of which will expire on various dates through 2012.

Under the Internal Revenue Code of 1986, as amended, certain changes in the
ownership or business of a corporation that has Federal NOLs or tax credit
carryforwards will result in the inability to use or the imposition of
significant restrictions on the use of such NOLs or tax credit carryforwards
to offset future income and tax liabilities of the Company. The merger
between Atari and JTS constituted a change in ownership with respect to JTS
and accordingly, restricts the use of JTS' pre-merger NOLs against
post-merger income of the Company to the maximum of $12.5 million per year,
unless previously expired. In addition, subsequent events may result in the
imposition of restrictions on the ability of the Company to utilize its NOLs
and tax credit carryforwards. There can be no assurance that the Company
will be able to utilize all or any of its NOL's or tax credit carryforwards.

Hi Everyone,    
      
      This is my second Magazine update. We are about to go into
another year. It is amazing that many of us still band together,
supporting our machines. This is a great thing. I hope the trend
continues in 1998. Heck...  I hope I can remember to write the correct
year on my checkbook! :)

      Feedback for this project seems to be fantastic. Especially from
groups and schools who still use older systems. Unfortunately I am not
receiving alot of submissions for articles. The few that I have
received are fantastic. But I need more! I am also still in need of a
title for the magazine. After all, this magazine is for you! So Please
send in your submissions. 

      Here is a copy of my first post:  
        
        Currently, I am working on a little magazine for older
computers(mostly commodore and atari but all others are welcome to) to
help support users out there. There seems to be alot of support for
older systems just not in one place. I want to do features and
listings on web-sites, companies, individuals who support these older
machines. I would like to have articles on hardware upgrades and
modifications for these machines along with new and innovative
software. I will also provide very low cost advertising for those who
wish to sell their hardware/software new or used. I think I can
publish it quarterly with no problems. The format will be simple and
cost effective for me to produce, 8.5in by 11in pages folded in
half(booklet form), and will hopefully have at least 16 pages. I have
not figured out a price for this yet but more than likeley about $1
will pay for the printing and the postage. I will be taking
submissions for articles right now. They can pretty much consist of
anything(reviews, opinions, programming, hardware modifications, and
most importantly getting these machines online.) All submissions will
get proper credit! Also I am in need of a name for this mag, so please
send in your ideas!

I have completed the first version of a U.S. version of a CD, has to be
read by an IBM or compatable CD-Rom drive.  It contains most of the Pool

Disk has IBM emulator
files that are on the disk..My price for the CD is $23.00 total

What I would like is input as to the next CD produced, what items

and error text

Keep in mind I am open to receiving files from anyone to be included
with credit to the
author ect.  but establising a base contect has taken me a year to

Over the past few days, I've been looking through some of my old Atari
8-bit archive material, and it suddenly struck me that what we all need is
a single resource which we can keep forever containing pictures, magazine
shots, game demonstrations, historical information, and anything else we
can think of. The best way of doing this, I think, is to produce a video.
Video is great because we can say something like 'in 1981 Atari released
....' and we can show pictures of it at the same time. Video is also great
because we can record output directly from the Atari to show old or classic
games being used.

Last year I produced a video of the AMS show in the UK, and I had a lot of
fun doing that, and it worked very well, so I would have great fun doing
the history of the Atari video.

Initially, I have to research it. I need all my facts straight. I know
there's a lot of stuff on the net relating to historical events, and I will
be using all that to try and piece everything together. I also have quite a
bit of Atari 8-bit equipment and software myself, which I will use as part
of the video. However, what I really would like are photographs/slides of
any computer shows either from the US, UK or Europe in which the Atari
features. I would particularly like these to be of shows from the early
80's, but more recent shows are great too. I have no photos at all from US
shows, so these would be nice. Home videos/films recorded at any of these
would be fantastic. I would also like photos of rare equipment (1450XLD
etc.). I know there are some on the net, but the resolution is not high
enough to transfer to video. Videos of such equipment being used would also
be superb. Although I am in the UK, I have equipment which can play NTSC
format VHS tapes, so there should be no problems.

The final video will be in PAL format, but I will make several master
tapes, so one can be used to convert to NTSC.

I think this will be a great project, and the final result should be
something all Atari 8-bit users can keep forever. At this early stage, I
would like input from as many of you as possible. If you have any photos,
or other archive material, please E-Mail me. If we all work together on
this, we should have it done in no time.

This is the release note for the GeckOS/A65 operating system for
6502 computers, version 2.0.0-pre1. This is a new major release
as the kernel has been partly rewritten, a complete new lib6502
implementation hsa been done and the o65 relocatable fileformat
is now supported, as well as multithreading.

Also a sophisticated "slipd" daemon supports internet connectivity
by using a SLIP connection, with a telnetd, a WWW server and related 
programs. The lib6502 network connectivity is supported, although 
this seems to be the only buggy part left...

What's new:

        - major kernel rewrite: 
          much improved speed, now supports threads and task priorites. 
          Signals are now unix-like (they even can interrupt blocking 
          system calls :-)

        - much improved porting ability:
          _all_ system dependend stuff has been moved to a directory
          in an "arch" subdirectory. Currently there are
          "arch/csa65", "arch/gecko" and "arch/c64" subdirectories
          (waiting for more contributions, hint, hint!)

        - better kernel doc in "doc/kernel.html"

        - lib6502 implementation

        - dynamic memory management with lib6502

        - relocatable fileformat 

        - telnet in and out from OS/A65

        - stable WWW server (built into slipd daemon)

What's still to do:

        - Only the C64 is working. Although the Gecko should also run,
          I have not tested it. The CS/A65 is not tested and probably needs
          more work.

What do I want from you:

        - Comments on the general kernel interface
          (or even kernel design, if you like)

        - new ports! 
          If you want to port the kernel to a new system without
          real memory management, it's almost only copying two files,
          editing one of them and then writing the device drivers.
          Taking the existing C64 stuff, that shouldn't be difficult.

Hello,

I have just finished a prototype PC-Interface (Bridge) for the Atari
800XL. It can talk to e.g. Hercules Card (probed) or virtually any
8bit-PC-card (drivers yet to be written). It is quite fast, I have
filled 4K of character-memory on a hercules in 2-3/50 seconds.

It implements a real PBI-Device, so there are no incompatibilities and
it doesn't use user RAM. The drivers resides in an extra ROM that is
mapped to $d800 (MathPack) when the bridge is selected .  
I'd like to know who is interested in such kind of interface and would
pay about $40 for it.
In the case I get enough requests, I will make a professional
board and write some drivers for hercules, printer (centronics) and
serial IO over standard 8bit-pc-cards.

I just completed my taxes and when researching my old Records I found an
Item from FTe.  I had the rights to produce the US Doubler in 1994
without any problems.  My mistake I filed this stuff where I thought it
would be readily available.  Well to my sorry eyes here it is we
K-Products does have the right to distribute the US Doubler since 1994
and have done nothing with those rights.  I did attempt to contact Mike
Hohman of FTe this month while I was in Phoenix but to no avail.

With the documentation I have the item if available at not ICD's price
of
$49.95 plus shipping but $29.00 including shipping.  Gurantees are in
place along with installation manual. (which I have the rights to

Introduction

Many years ago, APX released a program called Envision.  It was THE game
design tool.  It had an integrated character editor, map maker and many
other useful utilities.  Having recently returned to the Atari 8-bit
scene, due mostly to the high quality emulators now available, I felt like
pounding out a quick game.  I scrounged around for a copy of Envision--
and was rather surprised to be unable to find one.

As such, I set out to write my own version.  However, this time it runs on
the PC (either Linux or DOS/W95).  I can already hear the gasps of horror.
Why write a design tool for the 8-bit that runs on a different platform?
The answer is twofold: first, it is useful to switch between applications
(i.e. the Atari Emulator, and EnvisionPC). Second, this type of editor begs to
use the mouse.  Since I haven't seen an emulator that uses the mouse--and
since my Atari ST mice are all dead, I decided to write this as a
cross-platform tool.

Features:
* Full featured Character/Map editor
* Work on 10 font banks at the same time
* Supports ANTIC modes 2,3,4,5,6,7
* Export fonts to BASIC, MAE, MAC/65, Action! data formats
* Initial .XFD support (may be buggy)
* Binaries for DOS/W95, and Linux
* Full source code included

EnvisionPC: Release 0.5

This is a font/map editing program similar to the old Envision program on
the Atari 8-bits.  It runs on an IBM PC (either Linux or DOS/W95) and
includes all source code.

There must be people in this NG who still play adventure games, be they
text and/or graphic, either on their Atari`s or on PC`s under emulation.
If so you may be interested to hear about the 1998 Adventurers
Convention, which is being held in Birmingham this coming October, as it
has been for the past 8 years.

The Convention is being held on Saturday, 24th October 1998, in the
Ariel Suite of the Royal Angus Thistle Hotel, St. Chad`s, Birmingham B4,
which at the end of the A38M and easy to get to from all parts of the
country. It runs from 9am to around 6pm and covers all formats from
Spectrums to PC`s, including Atari`s. Tables are available if you wish
to bring along your own computer(s) and we actively encourage this as we
depend on those attending to bring their computers, so the more the
merrier! If you wish to bring hardware and/or software to sell you are
more than welcome to, but no pirated software please!

The event attracts adventure enthusiasts from all over the UK, including
Northern Ireland, and the atmosphere is very friendly and informal. Many
of us stay overnight at the hotel and the evenings can be just as lively
and interesting as the convention itself!

During the day we have the popular "Megapoints" competition running. In
this the contestants get 20 minutes playing time at a specially written
Spectrum text adventure, with the object of scoring as many points as
possible in the alloted time. There are usually cash prizes and special
certificates for the 3 highest scores. The adventure this year is being
written by Ulsterman Jon Scott, author of various Spectrum text
adventures published by Zenobi Software.

Tickets are available now and cost 6 ukp per person if you buy yours
before 30th June, 1998. Thereafter, or if you pay on the door on the

Atari 8-bit Enthusiasts,

I posted this message about a week ago, and it just caused an argument, and
I got no offers of help at all, so I am posting this again. Please do not
argue over whether I should do a video or a CD-ROM. That argument is over.
I am doing a VIDEO only. As well as the general stuff I need listed below,
I am also keen to get hold of a photo of Jay Miner, or any other people
from the original Atari 8-bit development team.

So far I have a photo of Atari's HQ circa 1986, along with some key members
of staff working at their desks within Atari. I also have an early photo of
David Crane circa 1983. I also have photos taken inside Atari UK circa
1982. I am keen to get more photos, perhaps late 70's inside Atari HQ. Can
you help? I will be getting video of Curt Vendel's prototypes (1450XLD,
etc.) being used, etc. I may also be getting a couple of Atari TV
commercials from 1982, but copyright is a problem here, so I can't promise
these will be included. If you want to help, or you have any of the items I

video, along with Andy Leininger who is looking after the U.S side of
things. We are now working out exactly what will be in the video, and this
is where we need your help. We are hoping the video will contain info you
never knew about before, and/or won't have seen before. This is what we are
particularly keen to get hold of:

* Photos and/or film/video of Atari shows (or of the Atari at non-specific
shows)

* Photos and/or film/video of any Atari promotions (in-house stuff would
really be nice)

* Press releases announcing Atari products (including the original one from
late 1978 announcing the 400/800)

* Rare/unreleased press releases (esp. for the unreleased equipment or
unreleased games)

* Any ex-Atari employees who could offer inside info/gossip from within
Atari corp at the time of the Atari 8-bit's reign

* Any other material which people are unlikely to know about or are
unlikely to have seen before

No need to load a disk just plug in the cart and follow the instrucions,
comes on a 16k cartridge. 

Lance also supports all the old stuff from the 2600 era to new stuff
being developed today.

New 2600 games IE: 
Sea Monster, KLAX, Pick N pile, Dice Puzzle, Gostbusters II, My Golf,
Bobby Goes Home, Mr. Postman, Mission 3000, Space Tunnel, Open Sesame
Dancing Plates, Snail Against Squirrel, and many more items.  Prices may

The new cd-rom has many old shareware/public domain software available

                    Hasbro to Buy Atari from JTS

                    According to SEC documents and inside sources, JTS
                    will be selling all of its Atari holdings to a
                    subsidiary of Hasbro.

                    March 11, 1998

                                        JTS Corp merged with Atari back
                                        in July of 1996, but since that
                                        time it has done little with
                                        the heritage that it held when
                                        it acquired all of Atari's
                                        games, patents and technology.
                                        It would now seem that Hasbro
                    has had its eye on Atari and will be buying the
                    former assets of Atari at a price of $5 million.

                    According to the Form 8K JTS filed with the SEC
                    yesterday:

                    "On February 23, 1998, JTS Corporation (the
                    "Company") sold substantially all of the assets of
                    the Company's Atari Division, consisting primarily
                    of Atari home computer games and the intellectual
                    property rights and license agreements associated
                    with such games (the "Atari Assets"), to HIACXI,
                    Corp. ("HIAC"), a wholly-owned subsidiary of Hasbro
                    Interactive, Inc., for $5,000,000 in cash. The
                    purchase price was determined based upon
                    arm's-length negotiations between the Company and
                    HIAC. The Atari Assets were acquired by the Company
                    in July 1996 when the Company merged with Atari
                    Corporation. There is no material relationship
                    between HIAC and the Company, any of its
                    affiliates, any director or officer of the Company,
                    or any associate of any such director or officer."

                    The report goes on to detail the exact platforms
                    that Hasbro will gain from the purchase:

                    "Atari Hardware Platforms" means the following
                    hardware platforms: Atari 2600, 5200, 7800, Lynx
                    hand-held and Jaguar game system hardware, Atari
                    800, ST and Falcon 030 computer family hardware,
                    TOS operating system, 8-bit operating system, and
                    Portfolio palmtop computer."

                    On the title side of the arrangement, Hasbro will
                    be getting the following pieces of intellectual
                    property and then some:

                    "Key Marks" means each of the following marks:
                    Atari, the Fuji logo, Asteroids, Battlezone,
                    Breakout, Centipede, Combat, Crystal Castles,
                    Millipede, Missile Command, Night Driver, Pong,
                    Ultra Pong, Tempest, Warlords and Yar's Revenge."

                    Hasbro has experienced excellent sales success with
                    its previous retro title efforts and with the Atari
                    brand and properties to use, it's likely that
                    Hasbro will continue to ride the retro wave of
                    financial goodness.

                    A spokesperson for JTS offered little insight into
                    the sale, merely stating that he could "neither
                    confirm nor deny the sale." He went on to say that
                    if there had been such a major deal completed there
                    would have been a press release issued.

                    Strangely though, as Atari passes into the hands of
                    Hasbro, it ends the company's jaunt with JTS
                    raising some probing questions. The SEC approved
                    Atari's "merger" with JTS on the premise that JTS
                    would make a good faith effort to keep the Atari
                    side of business alive. They "absorbed" $50,000,000
                    plus from Atari's coffers based on that premise. In
                    a little more than a year, JTS sells what's left of
                    Atari for $5,000,000. What happened to all that
                    money? What investments went into satisfying the
                    SEC commitments and understandings? Was this fair
                    to ATC investors?

                    Jaguar titles that were released after the merger
                    had long since been completed (Fight for Life, Iron
                    Soldier 2, etc.) which means that there had been no
                    new development of titles. Sources close to JTS
                    have indicated that at that point only one major
                    project was in R&D at that time (a PC graphics
                    converter which is obviously far outside the scope
                    of any project Atari would have worked on).

                    Numerous Jaguar developers have indicated that
                    after the merger (and even before the merger was
                    complete), all new contracts with Atari/JTS were
                    discouraged and milestone rewards for existing
                    contracts were not infrequently 're-negotiated'.
                    Based upon these accounts, the attempt to keep the
                    Atari side of the business running didn't quite
                    seem like a 'good faith effort'.

                    Next Generation Online is still awaiting comment
                    from Hasbro and the SEC on the matter.

     On February 23, 1998, JTS Corporation (the "Company") sold substantially
all of the assets of the Company's Atari Division, consisting primarily of
Atari
home computer games and the intellectual property rights and license agreements
associated with such games (the "Atari Assets"), to HIACXI, Corp. ("HIAC"), a
wholly-owned subsidiary of Hasbro Interactive, Inc., for $5,000,000 in cash.
The purchase price was determined based upon arm's-length negotiations between
the Company and HIAC.  The Atari Assets were acquired by the Company in July
1996 when the Company merged with Atari Corporation.  There is no material
relationship between HIAC and the Company, any of its affiliates, any director
or officer of the Company, or any associate of any such director or officer.

                               ASSET PURCHASE AGREEMENT


     THIS ASSET PURCHASE AGREEMENT (THIS "AGREEMENT") IS ENTERED INTO ON
FEBRUARY 23, 1998, BY HIAC XI, CORP., A DELAWARE CORPORATION ("BUYER"), AND JTS
CORPORATION, A DELAWARE CORPORATION ("SELLER").

                                      RECITALS

     This Agreement contemplates a transaction in which Buyer shall purchase
certain assets (and assume certain future obligations) of Seller in return for
the consideration described herein.  Buyer is a wholly-owned subsidiary of
Hasbro Interactive, Inc.

     NOW, THEREFORE, the parties, intending to be legally bound, hereby
agree as
follows:

I.        CERTAIN DEFINITIONS.  As used in this Agreement, the following terms
have the meaning given to them below:

          "Acquired Assets" means the following assets of Seller:

A.             All right, title and interest in and to the Seller's Products;

A.             All Intellectual Property associated with the Seller's Products,
including the Intellectual Property identified on SCHEDULE 1, and remedies past
and future against infringements thereof and rights to protection of interest
therein;

A.             The license agreements listed on SCHEDULE 2 (the "License
Agreements");

          (d)  All of Seller's claims, causes of action, choses in action,
rights of recovery, set-off and recoupment relating to or arising out of any
right, property or asset included in the Acquired Assets; and

          (e)  all business and financial records, books, files, plans,
documents, correspondence, lists, drawings, notebooks, specifications, creative
materials, advertising and promotional materials, marketing materials, studies
and reports of Seller, whether written or electronically stored or otherwise
recorded if, and only to the extent, that such foregoing items relate to the
Acquired Assets (not including the items of this clause (e) for these purposes)
or Assumed Liabilities (subject to Section 5(b)).

     Notwithstanding the foregoing, the Acquired Assets shall not include the
Excluded Assets.

          "Assumed Liabilities" means only liabilities and obligations arising
after the Closing under each License Agreement actually assigned to Buyer
pursuant to this Agreement.

          "Atari Hardware Platforms" means the following hardware platforms:
Atari 2600, 5200, 7800, Lynx hand-held and Jaguar game system hardware, Atari
800, ST and Falcon 030 computer family hardware, TOS operating system, 8-bit
operating system, and Portfolio palmtop computer.

          "Excluded Assets" means the following assets:

          (a)  inventory, receivables, furniture, fixtures and equipment;

          (b)  any tax assets of Seller, including pre-paid taxes, tax credits
and tax carryovers;

          (c)  all tax returns and tax records whether or not related to the
Acquired Assets;

          (d)  the $45,000 balance of the royalty guarantee owed to Seller on
December 31, 1997 by Interplay Productions, Inc. under Amendment One to the
Game
License Agreement dated July 29, 1996, between Atari Corporation and Interplay
Productions, Inc. and as otherwise identified in SCHEDULE 3;

          (e)  software developed by or for Seller or its predecessor under
license of intellectual property rights from a third party or third parties for
use on the Atari Hardware Platforms to the extent that such software is not
related to or associated with any of the trademarks and copyrights set forth in
SCHEDULE 1 or any of the game titles set forth in SCHEDULE 3;

          (f)  Hardware embodying Intellectual Property (other than Seller's
Intellectual Property) that is licensed from third Persons.

          (g)  all assets associated with or related to Seller's disk drive
business.

          "Hardware" means equipment, components, circuitry, integrated
circuits, processors, casings, layouts (including synthesizable code), mask
works, manufacturing data, and all designs, schematics, tooling, formulae,
processes, and know how therefor (whether or not any such items are presently
embodied in physical components) and related Intellectual Property.

          "Intellectual Property" means any or all of the following and all
statutory and/or common law rights throughout the world in, arising out of, or
associated therewith:  (i) all patents and applications therefor and all
reissues, divisions, renewals, extensions, provisionals, continuations and
continuations-in-part thereof; (ii) all inventions (whether patentable or not),
invention disclosures and improvements, all trade

secrets, proprietary information, know-how and technology; (iii) all works of
authorship, "moral rights", copyrights (including derivative works thereof),
mask works, copyright and mask work registrations and applications; (iv) all
industrial designs and any registrations and applications therefor; (v) all
trade names, logos, trademarks and service marks, trademark and service mark
registrations and applications together with the good will of the business
symbolized by the names and the marks; (vi) all computer software including all
source code, object code, firmware, development tools, files, records and data,
all media on which any of the foregoing is recorded; (vii) Uniform Resource
Locators, World Wide Web site addresses and domain names; (viii) any similar,
corresponding or equivalent rights to any of the foregoing; (ix) all
documentation related to any of the foregoing; and (x) all goodwill associated
with any of the foregoing.

          "Key Marks" means each of the following marks:  Atari, the Fuji logo,
Asteroids, Battlezone, Breakout, Centipede, Combat, Crystal Castles, Millipede,
Missile Command, Night Driver, Pong, Ultra Pong, Tempest, Warlords and Yar's
Revenge.

          "Knowledge" means actual knowledge of (i) the senior executives of
Seller or (ii) John Skruch.

          "Lien" means any mortgage, pledge, lien, security interest, charge,
claim, equity, encumbrance, restriction on transfer, conditional sale or other
title retention device or arrangement (including a capital lease), transfer for
the purpose of subjection to the payment of any indebtedness, or restriction on
the creation of any of the foregoing, whether relating to any property or right
or the income or profits therefrom.

          "Person" means an individual, a partnership, a corporation, an
association, a joint stock company, a trust, a joint venture, an unincorporated
organization, or a governmental entity (or any department, agency, or political
subdivision thereof).

          "Registered Intellectual Property" means all United States,
international and foreign: (i) utility and design patents, design registrations
and utility models and all pending applications (both regular and provisional)
for any of the foregoing; (ii) registered trademarks, service marks or trade
names, applications to register trademarks, service marks or trade names,
intent-to-use applications, or other registrations or applications related to
trademarks, service marks or trade names; (iii) registered copyrights and
applications for copyright registration; (iv) any mask work registrations and
applications to register mask works; (v) Uniform Resource Locators, World Wide
Web site addresses and domain names and (vi) any other Seller Intellectual
Property that is the subject of an application, certificate, filing,
registration or other document issued by, filed with, or recorded by, any
state,
government or other public legal authority.

          "Seller Hardware" means Hardware included in the Acquired Assets.

          "Seller's Intellectual Property" means Intellectual Property of
Seller
that constitutes an Acquired Asset.

          "Seller's Products" means (i) those products of Seller acquired by
Seller pursuant to the merger of Atari Corporation, a Nevada corporation, with
and into Seller on July 30, 1996, and any other products of Seller thereafter
derived therefrom, including products relating to or associated with the
trademarks set forth in SCHEDULE 1 (including video and computer games, games
for handheld devices, consoles, Internet play, all other games for play on any
platform whatsoever (subject to the License Agreements), and merchandise
bearing
any Intellectual Property relating to or associated with the foregoing, whether
now offered for sale or license by Seller or discontinued) and (ii) all of
Seller's products that are listed on SCHEDULE 3.

I.        SALE AND PURCHASE; ASSUMPTION OF LIABILITIES; PURCHASE PRICE;
CLOSING.

A.             SALE AND PURCHASE OF THE ACQUIRED ASSETS.  At the Closing (as
defined below), on the  terms and subject to the conditions of this Agreement,
Seller shall sell and Buyer shall purchase all of the Acquired Assets for the
sum of $5 million to be paid at the Closing by wire transfer to an account
designated by Seller.

A.             ASSUMPTION OF LIABILITIES.  In addition, at the Closing, on the
terms and subject to the conditions of this Agreement, Buyer agrees to assume
and become responsible for all of the Assumed Liabilities at the Closing.
Buyer
shall not assume or have any responsibility, however, with respect to any other
obligation or liability of Seller that is not an Assumed Liability.  Without
limiting the foregoing, Buyer shall not assume or be responsible for any
liabilities relating to events arising or occurring prior to the Closing,
regardless of when payable, and all such liabilities shall be for the
account of
Seller.

A.             CLOSING; CLOSING DELIVERABLES.  The closing shall occur in the
offices of  Wilson Sonsini Goodrich & Rosati, 650 Page Mill Road, Palo Alto,
California 94304 upon the execution and delivery of this Agreement by the
parties hereto ("Closing").  At the Closing the parties will deliver the
following documents, and such additional documents as the parties may agree to
transfer ownership of the Acquired Assets to Buyer (which shall be in form
satisfactory to both parties) :

1.                  Seller shall deliver:

                    (A)  A bill of sale for the Acquired Assets.

                    (B)  Global trademark assignments.

                    (C)  Country-specific trademark assignments.

                    (D)  Patent assignments in recordable form.

                    (E)  Assignment of the License Agreements.

                    (F)  Copyright assignment.

                    (G)  Global powers of attorney respecting trademarks.

                    (H)  Country-specific powers of attorney respecting
                         trademarks.

                    (I)  Assignment of Internet domain name.

                    (J)  Disclosure Schedule (as defined below).

1.                       Buyer shall deliver:
                    (A)  The purchase price by wire transfer.

                    (B)  An instrument of assumption of the Assumed
Liabilities.

A.             ASSIGNMENT OF CONTRACTS AND RIGHTS.  Anything in this Agreement
to the contrary notwithstanding, neither this Agreement nor the consummation of
the transactions contemplated hereby shall constitute an assignment, or an
agreement to assign, any Acquired Asset or any claim or right or any benefit
arising thereunder or resulting therefrom (a "Consent-Required Asset") if an
attempted assignment of such Consent-Required Asset, without consent of one or
more third parties, would constitute a breach or other contravention thereof or
would in any way adversely affect the rights of Buyer or Seller thereunder;
PROVIDED, HOWEVER, that once all such consents are obtained, this Agreement
shall automatically effect an immediate assignment of such Consent-Required
Asset without further action by either party hereto.   Buyer and Seller
will use
their commercially reasonable efforts (which shall not be deemed to require any
payment of money or other value by Seller or Buyer) to obtain the consent
of the
other parties to any such Consent-Required Asset for the assignment thereof to
Buyer as Buyer may reasonably request.  If such consent is not obtained, or if
an attempted assignment thereof would be ineffective or would adversely affect
the rights of Seller thereunder so that Buyer would not in fact receive all
such
rights, Seller and Buyer will cooperate in a mutually agreeable arrangement
under which Buyer would obtain the benefits and assume the obligations
thereunder in accordance with this Agreement, including sub-contracting or
sub-licensing to Buyer, or under which Seller would enforce for the benefit of
Buyer, with Buyer assuming Seller's obligations, any and all rights of Seller
against a third party thereto.  Seller will promptly pay or assign to Buyer
when
received  all monies received by Seller with respect to any Consent-Required
Asset and any claim or right or any benefit arising thereunder, except to the
extent the same

represents an Excluded Asset.  Nothing in this Section 2(d) shall be construed
to diminish the representations, warranties and covenants of Seller respecting
such consents.

I.        REPRESENTATIONS AND WARRANTIES OF SELLER.  Seller represents and
warrants to Buyer that the statements contained in this Section 3 are correct
and complete as of the Closing, except as set forth in the disclosure schedule
separately delivered by Seller to Buyer with this Agreement, which schedule
shall be initialed for identification by the parties (the "Disclosure
Schedule").  Except as expressly set forth in this Agreement and the Disclosure
Schedule, Seller hereby expressly disclaims any and all other warranties of any
kind or nature, whether express, implied or statutory, relating to the Acquired
Assets, including the implied warranties of title, non-infringement,
merchantability and fitness for a particular purpose.  Buyer acknowledges that
the Seller Hardware is transferred "as is" and that, notwithstanding
anything to
the contrary in this Agreement and the Disclosure Schedule, Seller makes no
representation or warranty of any kind with respect to the Seller Hardware.

A.             ORGANIZATION OF SELLER.  Seller is a corporation duly organized,
validly existing, and in good standing under the laws of the State of
Delaware.

A.             AUTHORIZATION OF TRANSACTION.  Seller has full corporate power
and authority to execute and deliver this Agreement and to perform its
obligations hereunder.  Without limiting the generality of the foregoing,
Seller
has taken all corporate and other action required for the execution, delivery
and performance of this Agreement by Seller, including the sale of the Acquired
Assets as provided herein.  This Agreement constitutes the valid and legally
binding obligation of Seller, enforceable in accordance with its terms.  The
persons who have executed this Agreement on behalf of Seller have been duly
authorized to do so.

A.             NONCONTRAVENTION.  Neither the execution and the delivery of
this
Agreement, nor the consummation of the transactions contemplated hereby, shall
(i) violate any statute, regulation, rule, judgment, order, decree,
stipulation,
injunction, charge, or other restriction of any government, governmental
agency,
or court to which Seller is subject or any provision of the charter or
bylaws of
Seller or (ii) conflict with, result in a breach of, constitute a default
under,
result in the acceleration of, create in any party the right to accelerate,
terminate, modify, or cancel, or require a notice under any contract, lease,
sublease, license, sublicense, franchise, permit, indenture, agreement or
mortgage for borrowed money, instrument of indebtedness, security interest, or
other arrangement to which Seller is a party or by which it is bound or to
which
any of its assets is subject, except where the violations, conflicts, breaches,
defaults, accelerations, terminations, modifications, cancellations or failures
to give notice, individually or in the aggregate, would not have a material
adverse effect on the Acquired Assets, the Assumed Liabilities or the
ability of
the parties to consummate the transactions contemplated by this Agreement (a
"Material Adverse Effect").  Seller need not give any notice to, make any
filing
with, or obtain any authorization, consent, or approval of any government or
governmental agency in order for the parties to consummate the transactions

contemplated by this Agreement, except where the failure to do so, individually
or in the aggregate, would not have a Material Adverse Effect.

A.             CONSENTS.  No approvals or consents of or assignments by any
person (including any federal, state or local governmental or administrative
authorities) are necessary in connection with the execution, delivery or
performance of this Agreement.

A.             TITLE TO THE ACQUIRED ASSETS.  Seller has good and marketable
title, free and clear of all Liens, (i) to the Acquired Assets identified on
SCHEDULE 1 (other than copyrights that are not identified on SCHEDULE 4),
SCHEDULE 3 and SCHEDULE 4 and (ii) to its Knowledge, to all other Acquired
Assets.  At the Closing, Buyer shall obtain good and marketable title, free and
clear of all Liens (i) to the Acquired Assets identified on SCHEDULE 1 (other
than copyrights that are not identified on SCHEDULE 4), SCHEDULE 3 and SCHEDULE
4 and (ii) to its Knowledge, to all other Acquired Assets.

A.             MATERIAL CONTRACTS.  True, correct and complete copies of the
License Agreements have been delivered to Buyer.  Seller has performed in all
material respects all obligations required to be performed by Seller under the
License Agreements.  To the Knowledge of Seller, each of the other parties to
the License Agreements has performed in all material respects all the
obligations required to be performed by them thereunder to date.  Each License
Agreement (i) is valid, binding and enforceable in accordance with its terms,
(ii) is in full force and effect with no default or dispute existing or, to the
Knowledge of Seller, threatened with respect thereto, and (iii) shall not be
terminated or otherwise affected by the execution and delivery of this
Agreement
or the consummation of the transactions contemplated hereby.  No consent of any
third party is required for the assignment of any License Agreement to Buyer.
Seller has provided Buyer with a complete and accurate list of payments paid to
Seller by each licensee under the License Agreements, indicating the licensee
and the month paid, from June 30, 1996 to present.  Seller has not received any
advanced payments (including prepayments of royalties, or other payments by
reason of which a licensee is entitled to reduce its current or future royalty
or payment obligations) under the License Agreements which have not been earned
by Seller.

A.             INTELLECTUAL PROPERTY.

1.                  To the Knowledge of Seller, SCHEDULE 1 contains a list of
all trademarks and service marks and applications therefor included in the
Acquired Assets that have not lapsed and that are, except as qualified therein,
Registered Intellectual Property (the "Registered Marks"), all patents and
applications therefor that are included in the Acquired Assets that are
Registered Intellectual Property (the "Registered Patents"), and United States
copyrights included in the Acquired Assets, certain of which are Registered
Intellectual Property.  SCHEDULE 3 contains certain game titles that are
included in the Acquired Assets.  To the Knowledge of Seller, (A) the
description of the Registered Marks on SCHEDULE 1 contains, to the extent set
forth and

except as qualified therein, the true and accurate date of registration,
registration number, registered owner and the class of the Registered Marks,
(B) the description of the Registered Patents on SCHEDULE 1 contains the true
and accurate patent number and file date of the Registered Patents, and (C) the
description of the United States registered copyrights on SCHEDULE 1
included in
the Acquired Assets that are Registered Intellectual Property contains the
number of such copyright registration.

1.                  Since July 30, 1996, to the extent that any Seller's
Intellectual Property has been developed by any Person other than Seller for
which Seller has, directly or indirectly, paid, Seller has a written agreement
with such Person with respect thereto and thereby has obtained ownership
of, and
recordable title to, and is the exclusive owner of, all developed Seller's
Intellectual Property by operation of law or by valid assignment.

1.                  Except as set forth in any License Agreement, Seller
has not
transferred ownership of or granted any license of or right to use or
authorized
the retention of any rights to use any Seller's Intellectual Property to any
other Person.

1.                  The Seller's Intellectual Property constitutes all
Intellectual Property used in and/or necessary to the conduct of Seller's Atari
division business as currently being conducted by Seller.

1.                  To the Knowledge of Seller, neither Seller's Products
included in the Acquired Assets nor the use of Seller's Intellectual Property,
(A) infringes upon or misappropriates the Intellectual Property of any Person,
(B) violates the rights of any Person (including rights to privacy or
publicity), or (C) constitutes unfair competition or trade practices under the
laws of any jurisdiction.  Seller has received no notice from any Person
claiming that Seller's Products included in the Acquired Assets nor the use of
Seller's Intellectual Property infringes upon or misappropriates the
Intellectual Property of any Person or constitutes unfair competition or trade
practices under the laws of any jurisdiction (nor, to the Knowledge of Seller,
is there any basis therefor).

1.                  There are no contracts, licenses or agreements between
Seller and any other Person with respect to Seller's Intellectual Property
under
which there is, to the Knowledge of Seller, any dispute or any threatened
dispute regarding the scope of such agreement, or performance under such
agreement including with respect to any payments to be made or received by
Seller thereunder.

1.                  To the Knowledge of Seller, no Person is infringing or
misappropriating any Key Mark, other than such infringements or
misappropriations that, individually or in the aggregate, would not have a
Material Adverse Effect on such Key Mark.

1.                  Seller and, to the Knowledge of Seller, each prior owner of
the Seller's Intellectual Property have taken whatever reasonable steps
that are
required to protect rights in confidential information and trade secrets of
such
Person and its successors.

1.                  None of the Seller's Intellectual Property is subject
to any
proceeding or outstanding decree, order, judgment, agreement or stipulation
that
restricts in any manner the use, transfer or licensing thereof by Seller or may
affect the validity, use or enforceability of such Seller's Intellectual
Property.

1.                  Seller is not required to make or accrue any royalty
payment
to any third party in connection with the sale, distribution, license, transfer
or other disposition or exploitation of any of the Acquired Assets.

1.                  Seller has not developed any new video game software since
July 30, 1996.

1.                  Seller owns no Intellectual Property not included in the
Acquired Assets that is directly or indirectly competitive with the Seller's
Intellectual Property.

1.                  (A)  Alan Helbush is the Administrative Contact listed in
the domain name record on file with Network Solutions, Inc./InterNIC
Registration Services, and (B) Seller controls the domain name "ATARI.COM".

1.                  None of the Intellectual Property associated with the
Seller's Products, including the Intellectual Property identified on
SCHEDULE 1,
or remedies past and future against infringements thereof and rights to
protection of interest therein is an asset specified in clause (g) of the
definition of "Excluded Assets" set forth in Section 1.

A.             SUFFICIENCY OF ASSETS.  The Acquired Assets include all assets,
properties and rights necessary for compliance by Buyer with all obligations
relating to the Assumed Liabilities.

A.             LITIGATION.  There is no claim, dispute, action, proceeding
(including arbitration), suit or appeal, or investigation, at law or in equity,
pending (other than those, if any, with respect to which service of process or
similar notice has not yet been made and which are not within the Knowledge of
Seller) or, to the Knowledge of Seller, threatened against Seller or involving
any of the assets or properties of Seller before any court, agency, authority,
arbitration panel or other tribunal that would have a Material Adverse Effect.
There is no outstanding order, writ, injunction or decree of any court, agency,
authority, arbitration panel or other tribunal, and Seller is not in default
with respect to any notice, order, writ, injunction, or decree, in each case
relating to, or affecting the Acquired Assets, the Assumed Liabilities or the
Seller's Products.

A.             UNDERLYING DOCUMENTS.  Copies of all documents listed or
described in the Disclosure Schedule and the Schedules hereto have been
furnished or made available to Buyer.  All such documents are true, correct and
complete copies, and there are no amendments or modifications thereto.

A.             BROKERS' FEES.  Seller has no liability or obligation to pay any
fees or commissions to any broker, finder, or agent with respect to the
transactions contemplated by this Agreement for which Buyer or its affiliates
could become liable or obligated.

A.             COMPLIANCE WITH BULK SALES LAWS.  The sale, transfer and
assignment by Seller to Buyer hereunder and the consummation of the other
transactions contemplated hereby do not constitute a "bulk sale" by Seller, and
it is not necessary under the laws of any jurisdiction that Seller comply with
the bulk sales laws of such jurisdiction.

A.             DISCLOSURE.  Neither this Agreement nor any of the Schedules
nor,
to the Knowledge of Seller, any other documents delivered by Seller in
connection with this Agreement contains any untrue statement of a material fact
or omits a material fact necessary to make the statements contained herein or
therein, in light of the circumstances in which they were made, not misleading,
and, to the Knowledge of Seller, there is no fact that has not been
disclosed to
Buyer that materially affects adversely or could reasonably be anticipated to
materially affect adversely the Acquired Assets, or the operation of the
Acquired Assets by Buyer as currently conducted by Seller.

I.        REPRESENTATIONS AND WARRANTIES OF BUYER.  Buyer represents and
warrants to Seller that the statements contained in this Section 4 are correct
and complete as of the Closing.

A.             ORGANIZATION OF BUYER.  Buyer is a corporation duly organized,
validly existing, and in good standing under the laws of the state of Delaware.

A.             AUTHORIZATION OF TRANSACTION.  Buyer has full power and
authority
(including full corporate power and authority) to execute and deliver this
Agreement and to perform its obligations hereunder.  This Agreement constitutes
the valid and legally binding obligation of Buyer, enforceable in accordance
with its terms. The person who has executed this Agreement on behalf of Buyer
has been duly authorized to do so.

A.             BROKERS' FEES.  Buyer has no liability or obligation to pay any
fees or commissions to any broker, finder, or agent with respect to the
transactions contemplated by this Agreement for which Seller or its affiliates
could become liable or obligated.

A.             NONCONTRAVENTION.  Neither the execution and delivery of this
Agreement by Buyer, nor the consummation by Buyer of the transactions
contemplated hereby, will violate (a) any provision of the Certificate of
Incorporation or bylaws, as amended, of Buyer or (b) any statute, regulation,
rule, judgment, order, decree, stipulation, injunction, charge or other
restriction of any government, governmental agency or court to which Buyer is
subject.

A.             ASSESSMENT OF VALUE.  Buyer has been authorized by its ultimate
parent entity to make a good faith assessment of the fair market value of the
Acquired Assets, has made such assessment, and has determined that the fair
market value of the Acquired Assets as of the Closing is less than $15,000,000.

I.        POST-CLOSING COVENANTS AND AGREEMENTS.

A.             COOPERATION.  Each party shall, at all times following the
Closing, not take any action inconsistent with the satisfaction of its
obligations hereunder and, subject to the following sentence, shall promptly
take any further action necessary or desirable to carry out the purposes of
this
Agreement (including the execution and delivery of such further instruments and
documents) as the other party may reasonably request.  Seller shall take all
actions reasonably requested by Buyer, at Buyer's expense (provided that Buyer
shall not be obligated for any cost to Seller in respect of the time of
Seller's
employees, officers or directors), to enable Buyer to establish a recordable
chain of title to the Acquired Assets, including contacting prior owners of
items thereof to request appropriate instruments for recordation.

A.             DELIVERY.  Immediately following the Closing Seller shall
deliver
to Buyer, and Buyer shall accept and remove from Seller's premises at Buyer's
expense within 30 days of the date of Closing, all copies of tangible
embodiments of Acquired Assets transferred to Seller (other than software and
code, and such other items as the parties may mutually agree, which shall be
transferred electronically on or immediately following the Closing and all
tangible embodiments of which shall thereafter be destroyed by Seller);
PROVIDED, HOWEVER, that (i) any information contained in such materials listed
in clause (e) of the definition of "Acquired Assets" that does not relate
to the
Acquired Assets may be deleted by Seller before such materials are delivered to
Buyer and (ii) Seller may make copies of any business or financial documents
(other than documents containing Seller Intellectual Property) prior to
delivering them to Buyer.  Except as provided in Section 5(c), Seller shall
cease use of the Seller's Intellectual Property, including the name Atari and
the "Fuji" logo relating thereto.

A.             SELLER INVENTORY.  Seller owns certain unsold inventory of games
bearing the Atari  and/or Fuji trademark, and certain other Registered
Marks and
containing other Seller's Intellectual Property (the "Inventory").  Buyer
hereby
grants to Seller an irrevocable, worldwide, royalty-free license, for a period
of one year from the date of the Closing to use the Registered Marks and other
applicable Seller's Intellectual

Property relating to such Inventory solely for the purpose of selling the
Inventory. Except as set forth in the previous sentence, after the Closing
Seller shall have no right to exploit the Seller's Intellectual Property.
Without limiting the foregoing, Seller shall not, following the expiration of
the one-year license period set forth above, sell any product referred to in
clause (e) of the definition of "Excluded Assets" set forth in Section 1.
Seller warrants that the Inventory sold pursuant to this Section 5(c) shall be
of like kind and quality to that previously sold by Atari Corporation in the
ordinary course of its business.

A.             NOTICE OF DEVELOPMENTS.  Seller shall give prompt written notice
to Buyer of any material development that could have a Material Adverse
Effect.
Each party shall give prompt written notice to the other of any material
development affecting the ability of the parties to perform their post-Closing
obligations under this Agreement.

A.             ENFORCEMENT OF RIGHTS.  In connection with the enforcement
of its
rights of  ownership of the Acquired Assets and the enjoyment thereof,
Buyer may
bring actions in the name of Seller, or cause Seller to join any such action as
a party, as reasonably necessary, provided that Buyer shall indemnify Seller
with respect thereto.

A.             MAINTENANCE OF INTELLECTUAL PROPERTY; DELIVERY OF NOTICES.
After
the Closing, Seller shall not be responsible for the maintenance or renewal of
any registration with respect to the Acquired Assets, such responsibility to
belong to Buyer as the owner of the Acquired Assets; PROVIDED, HOWEVER, that
Seller shall promptly forward to Seller any and all notices and correspondence
which it may receive pertaining to the Acquired Assets; and FURTHER PROVIDED
that Seller shall remain responsible for the maintenance and renewal of
registration with respect to all of the Consent-Required Assets retained by
Seller pursuant to Section 2(d) of this Agreement as a consequence of the
failure to obtain a required consent of a third party until such time as the
applicable consent is obtained.

A.             LITIGATION SUPPORT.  In the event and for so long as Seller
actively is contesting or defending against any action, suit, proceeding,
hearing, investigation, charge, complaint, claim or demand in connection with
any fact, situation, circumstance, status, condition, activity, practice, plan,
occurrence, event, incident, action, failure to act, or transaction involving
the Acquired Assets or the Assumed Liabilities, Buyer will provide access upon
prior request and during its regular business hours to the books, records and
other items specified in clause (e) of the definition of Acquired Assets set
forth in Section 1 as shall be reasonably necessary in connection with the
contest or defense, all at the sole cost and expense of Seller and subject to
Seller's execution and delivery of Buyer's standard form of confidentiality
agreement with respect to such items.

I.        INDEMNIFICATION.

A.             INDEMNIFICATION AND REIMBURSEMENT OF BUYER'S LOSSES.  Seller
shall indemnify Buyer and its affiliates, together with their respective
officers, directors and employees (each a "Seller's Indemnitee") against Losses
(as defined below) as set forth in this Section 6.  If a Seller's Indemnitee
shall have suffered a Loss by reason of (i) the breach of any of the
representations or warranties made by Seller herein, (ii) any matter arising
prior to the Closing with respect to the Seller's business, an Acquired
Asset or
an Assumed Liability, (iii) any liability of Seller that is not an Assumed
Liability or (iv) any breach of a covenant of Seller hereunder, Seller's
Indemnitee shall be reimbursed for such Loss by Seller as set forth in this
Section 6.  For purposes hereof, "Loss" shall mean any losses, liabilities,
claims, damages and expenses incurred or reasonably expected to be incurred,
including penalties, fines, interest, amounts paid in settlement and reasonable
fees and disbursements of counsel, and expenses incurred in connection with any
investigation, action, suit or proceeding instituted against an indemnified
party.  Notwithstanding the foregoing, Seller shall have no obligation to
indemnify Seller's Indemnitees for Losses which, cumulatively, total less than
$25,000; PROVIDED, HOWEVER, that if cumulative Losses equal or exceed said
$25,000, then Seller shall indemnify Seller's Indemnitees for all of such
Losses.  Liquidated Claims (as defined below) actually paid by Seller under
this
Section 6 shall be limited to an aggregate of $5 million.

A.             INDEMNIFICATION AND REIMBURSEMENT OF SELLER'S LOSSES.  Buyer
shall indemnify Seller and its affiliates, together with their respective
officers, directors and employees (each a "Buyer's Indemnitee") against Losses
as set forth in this Section 6.  If a Buyer's Indemnitee shall have suffered a
Loss by reason of (i) the breach of any of the representations or warranties
made by Buyer herein, (ii) any matter arising after the Closing with respect to
the Buyer's business, an Acquired Asset or an Assumed Liability, provided such
matter is not related to or arising from any breach of a covenant,
representation or warranty of Seller or any act or omission by Seller involving
wilful misconduct, fraud or bad faith, or (iii) any breach of a covenant of
Buyer hereunder, Buyer's Indemnitee shall be reimbursed for such Loss by Buyer
as set forth in this Section 6.  Notwithstanding the foregoing, Buyer shall
have
no obligation to indemnify Buyer's Indemnitees for Losses which, cumulatively,
total less than $25,000, provided however that if cumulative Losses equal or
exceed said $25,000, then Buyer shall indemnify Buyer's Indemnitees for all of
such Losses.  Liquidated Claims actually paid by Buyer under this Section 6
shall be limited to an aggregate of $5 million.

A.             PAYMENT.  At such time as the reimbursable amount of a Claim
or a
Third Party Claim has been determined in accordance with this Section 6 (a
"Liquidated Claim"), the indemnifying party shall immediately pay the Person to
be indemnified hereunder (an "Indemnitee") the amount of the Liquidated Claim.
No forbearance of an Indemnitee in demanding payment from the indemnifying
party
shall act as a waiver of any right of an Indemnitee to receive payment from the
indemnifying

party, nor shall it relieve the indemnifying party of any obligation to an
Indemnitee under this Agreement.

A.             NOTICE OF CLAIMS.  In the event an Indemnitee has any claim for
indemnification under Section 6(a) or Section 6(b) (a "Claim"), it shall give
prompt written notice thereof to the indemnifying party, including in such
notice a brief description of the facts upon which such claim is based and the
amount thereof.

A.             THIRD PARTY CLAIMS.

1.                  If any third party shall notify an Indemnitee with respect
to any matter (a "Third Party Claim") that may give rise to a claim for
indemnification against a party hereto (the "Indemnifying Party") under this
Section 6, then the Indemnitee shall promptly notify the Indemnifying Party
thereof in writing; PROVIDED, HOWEVER, that no delay on the part of the
Indemnitee in notifying the Indemnifying Party shall relieve the Indemnifying
Party from any obligation hereunder, unless (and then solely to the extent)
that
the Indemnifying Party is prejudiced.

1.                  The Indemnifying Party shall have the right to defend the
Indemnitee against the Third Party Claim with counsel of the Indemnifying
Party's choice reasonably satisfactory to the Indemnitee so long as (A) the
Indemnifying Party notifies the Indemnitee within 15 days after the Indemnitee
has given notice of the Third Party Claim that the Indemnifying Party will
indemnify the Indemnitee as required by (and subject to the limitations of)
this
Section 6 for Losses arising out of, relating to, in the nature of, or
caused by
the Third Party Claim; (B) the Indemnifying Party provides the Indemnitee with
evidence reasonably acceptable to the Indemnitee that the Indemnifying Party
will have the financial resources to defend against the Third Party Claim and
fulfill its indemnification obligations hereunder; (C) the Third Party Claim
involves only money damages and does not seek an injunction or other equitable
relief; (D) settlement of, or an adverse judgment with respect to, the Third
Party Claim is not, in the good faith judgment of the Indemnitee, likely to
establish a precedential custom or practice materially adverse to the
continuing
business interest of the Indemnitee; and (E) the Indemnifying Party
conducts the
defense of the Third Party Claim actively and diligently.

1.                  So long as the Indemnifying Party is conducting the defense
of the Third Party Claim in accordance with Section 6(e)(ii) above, (A) the
Indemnitee may retain separate co-counsel at its sole cost and expense and
participate in the defense of the Third Party Claim; (B) the Indemnitee shall
not consent to the entry of any judgment or enter into any settlement with
respect to the Third Party Claim without the prior written consent of the
Indemnifying Party (not to be withheld unreasonably); and (C) the Indemnifying
Party shall not consent to the entry of any judgment or enter into any
settlement with respect to the Third Party Claim without the prior written
consent of the Indemnitee (not to be withheld unreasonably).

1.                  In the event any of the conditions in Section 6(e)(ii)
above
is or becomes unsatisfied, however, (A) the Indemnitee may defend against, and
consent to the entry of any judgment or enter into any settlement with respect
to, the Third Party claim in any manner it reasonably may deem appropriate (and
the Indemnitee need not consult with or obtain any consent from, any
Indemnifying Party in connection therewith); (B) the Indemnifying Party shall
reimburse the Indemnitee promptly and periodically for the reasonable costs of
defending against the Third Party Claim (including attorneys' fees and
expenses), and (C) the Indemnifying Party shall remain responsible for any
Losses the Indemnitee may suffer resulting from, arising out of, relating
to, in
the nature of, or caused by the Third Party Claim to the fullest extent
provided
in this Section 6.

A.             DISPUTED CLAIMS.  If Seller objects to any Claim or Third Party
Claim, it shall give written notice of such objection and brief statement
of the
grounds of such objection to Indemnitee within 20 business days after notice is
received.  If no such objection is given, such Claim or Third Party Claim,  as
the case may be, shall be a Liquidated Claim. If such objection is made,
Indemnitee and Seller shall meet and use their best efforts to settle the
dispute in writing that when resolved shall be a Liquidated Claim.

A.             SURVIVAL.  The provisions of this Section 6 shall survive the
Closing.  Notwithstanding anything to the contrary in this Agreement, no Claim
or Third Party Claim may be asserted by a Seller's Indemnitee under this
Section
6:  (i) with respect to Losses arising in connection with the obligation to pay
taxes, following the date of the expiration of the applicable statute of
limitations for such obligation; (ii) with respect to a Loss arising out of or
in connection with a License Agreement, following the termination of such
License Agreement in accordance with its terms; and (iii) with respect to all
other Losses, following August 31, 2000.  No Claim or Third Party Claim may be
asserted by a Buyer's Indemnitee under this Section 6, other than Losses
arising
with respect to the Assumed Liabilities, following August 31, 2000.
Notwithstanding the preceding sentence, an Indemnitee may assert a Claim or
Third Party Claim under this Section 6 with respect to Losses that are the
result of fraud or wilful misconduct by the Indemnifying Party at any time
within the applicable statute of limitations for such claim.

A.             The right of each party hereto to assert Claims and receive
indemnification payments pursuant to this Section 6 shall be the sole and
exclusive right and remedy exercisable by such party with respect to any breach
by the other party hereto of any representation or warranty or failure to
perform any covenant required to be performed by such other party; PROVIDED,
HOWEVER, that the above shall not prevent a party hereto from seeking specific
performance of a covenant which another party hereto has failed to perform
under
this Agreement.

I.        MISCELLANEOUS.

A.             NO THIRD PARTY BENEFICIARIES.  Except as otherwise specified
herein, this Agreement shall not confer any rights or remedies upon any person
other than the parties and their respective successors and permitted assigns.

A.             ENTIRE AGREEMENT.  This Agreement (including the documents
referred to herein) constitutes the entire agreement between the parties and
supersedes any prior understandings, agreements, or representations by or
between the parties, written or oral, that may have related in any way to the
subject matter hereof.

A.             SUCCESSION AND ASSIGNMENT.  This Agreement shall be binding upon
and inure to the benefit of the parties named herein and their respective
successors and permitted assigns. Seller shall not assign any of its rights,
interests or obligations hereunder without the prior written consent of Buyer.
Buyer may assign its right, interests and obligations hereunder to any Person
provided that such permitted assignee agrees to be bound by the terms
hereof and
to assume all obligations of Buyer hereunder.

A.             COUNTERPARTS.  This Agreement may be executed in one or more
counterparts, each of which shall be deemed an original but all of which
together shall constitute one and the same instrument.

A.             HEADINGS.  The section headings contained in this Agreement are
inserted for convenience only and shall not affect in any way the meaning or
interpretation of this Agreement.

A.             NOTICES.  All notices, requests, demands, claims, and other
communications hereunder in writing. Any notice, request, demand, claim, or
other communication hereunder shall be deemed duly given five business days
after mailing if sent by registered or certified mail, return receipt
requested,
postage prepaid and addressed to the intended recipient as set forth below:

Any party may give any notice, request, demand, claim, or other communication
hereunder using any other means (including personal delivery, expedited
courier,
messenger service, facsimile, telex, ordinary mail, or electronic mail), but no
such notice, request, demand, claim, or other communication shall be deemed to
have been duly given unless and until it is received by the person for whom it
is intended. Any party may change the address to which notices, requests,
demands, claims, and other communications hereunder are to be delivered by
giving the other party notice in the manner herein set forth.

A.             GOVERNING LAW.  This Agreement shall be governed by and
construed
in accordance with the laws of the State of California as such laws are applied
to agreements entered into and to be performed entirely within California by
California residents.

A.             AMENDMENTS AND WAIVERS.  No amendment of any provision of this
Agreement shall be valid unless the same shall be in writing and signed by
Buyer
and Seller.

A.             EXPENSES.  Each of Buyer and Seller shall bear its own costs and
expenses (including legal fees and expenses) incurred in connection with the
negotiation and preparation of this Agreement and the transactions contemplated
hereby.  Buyer shall, pursuant to Section 5(a) of this Agreement, bear all
costs
and expenses of the recordation of chain of title to the Acquired Assets,
including preparation and recordation of appropriate assignments of the
Acquired
Assets.

A.             CONSTRUCTION.  The language used in this Agreement shall be
deemed to be the language chosen by the parties to express their mutual intent,
and no rule of strict construction shall be applied against any party. Any
reference to any federal, state, local, or foreign statute or law shall be
deemed also to refer to all rules and regulations promulgated thereunder,
unless
the context requires otherwise.  Except as otherwise specified, references in
this Agreement to Sections and Schedules are to Sections of, and Schedules
attached to, this Agreement.  Except where the context clearly requires to the
contrary, "including" shall mean "including, without limitation".

A.             SCHEDULES.  The Schedules identified in this Agreement are
incorporated herein by reference and made a part hereof.

A.             TRANSFER TAXES.  Any and all sales, use or other transfer taxes
arising from the transactions contemplated by this Agreement shall be paid by
Seller.

A.             CONFIDENTIALITY OF INFORMATION.  All information given to a
party
by the other party in connection with this Agreement ("Confidential
Information") shall be used only for purposes related to the consummation
of the
transactions contemplated herein, and shall be disclosed to the receiving
party's employees and representatives only on a "need to know" basis in
connection with such purposes.  If the Closing does not occur for any reason,
each party shall maintain in confidence all Confidential Information of the
other party, shall return to the disclosing party all tangible embodiments (and
all copies) of such Confidential Information and shall not use such
Confidential
Information for any purpose; PROVIDED, HOWEVER, that the forgoing restrictions
shall not apply to:  (i) information that is or becomes a matter of public
knowledge through no act or failure to act of the receiving party, its
representatives or employees, (ii) information that becomes available to the
receiving party from a source not under an obligation of confidentiality to the
disclosing party, or (iii) information that was known to receiving party prior
to its disclosure to the receiving party by the disclosing party.

Welcome to the second Jag Fest newsletter for 1998. Big stuff is up in the
world of the 'Fest...more specifics, more attractions, and more Jaguar fun!

///8 Jag Network? You Bet!

Thanks to Guy Dupre, Jaguar fanatic extraordaniare, we'll be certain to
have an 8 Jag network for the Fest, with 8 copies of AirCars, as long as
ICD delivers before August 1st ;-). In fact, if enough other people bring
Jags, we'll be able to have 2 8-Jag setups running simultaneously! I wonder
what the record is?

But, we'll still need TV's for every Jag, and that's where you come in.
Bring a few, at least one for each Jag you bring, and an extra if possible.
The more the merrier! If you decide to bring a monitor, make sure it is one
that is CatBox compatible, such as the Atari SC1224/1435, or has composite
inputs like the Commodore 1702. Here's a list of Analog RGB monitors which

        Here's how you would get online to the software. Dial the bbs
hosts number. Once you get the connect message, make sure your in
ATASCII/ATARI translation mode and press return. If your not in ATASCII
it will drop carrer. Also, make sure word wrap is turned off.

     After you enter your username and password, you are presented with
the main menu. You can set user preferences to title screen on/off. (More
programability will be added in the future). So, you can avoid those
annoying long entry screens(I hated them with a passion!)  On entry, you
get a 4 lines total of printed stuff with title screen off. NO MORE
EXCESS GARBAGE!

Main menus other sub-menus look like this.

     I'v tried to make the placement of commands within the main&sub
menus make sense. Removed all junk commands no one ever uses. Here are
the menu screens (They were in ATASCII, so all the graphics have been
removed for this message). The  menu will be off on borders, but
readable.

  It says Logout(Y/N)? If you say Yes,

  carrer. NO MORE ANNOYING LONG
  BULL%%%% ENDING MESSAGES! Another
  item, I hated with a passion on
  BBS's over the years.

Print help menu(?):
  The menus is are very clear and easy
  to understand.
  No more dinosaur menus with 99% junk
    functions you'll never use.
  No more 80 column unreadable menus!
  You get a clean very short menu for
  speed and readablity.

  This selection method is as simple.
  A desciption list is printed of
  online programs. Currently, two are
  avalable: edit user preferences and
  live action horse race. I'll talk
  about them later on.

Send e-mail: send private email
  First it prints "mask?". if you enter
  return it will look at the whole user
  list. The mask is used to narrow down
  your selections for who to email. You
  now see "select:" return "sysop".

  up arrow: previous name
down arrow: next name
    return: select name

     If you press either up/down arrow. the name displayed is deleted and
the new one is displayed. Once you select who to email. Enter subject,
then it goes to the EDIT>(message editor). It Presses the A key. So you
go directly to add lines.

Read email: read your incomming mail.
  The computer checks for e-mail at
  login. Each message will print up,
  then print "return,A,X:".

return: next message
     A: print message again
     X: exit message read

     Once you are at the last message. It asks "delete mail(y/n)". If you
say yes, it will delete all your mail. In version 2.0, this design for
read email will change. Haven't made up my mind for the final designs
yet.

List users: on the system
  This just prints up user names of
  everyone on the bbs. This design
  most likely will change.

User profile: print user text file
  Each user on the system gets a text
  file that they can make into anything
  they want, including fancy ATASCII
  graphics demos(required info like
  real name, adress, phone, etc. goes
  into a private file for the use of a
  sysop).

Exit to main menu:
  This is what I hated about most
  bbs's, inconsistant methods of
  exiting to higher levels. I was
  allways going, "Uh, which key is exit
  again??" Programs offen used 4
  different keys to exit various
  sections. UGH! NO MORE! One key to
  exit any part of the program "X".
  No guessing here!

is a display I'd allways wanted. Since, the standard method was
confusing. [current/last].

  It will ask for to and subject. Then
  it will goto message editor EDIT>

New messages: new message scan
  Scans all selected message forums
  (set in user prefences editor) for
  new messages. Uses same format as
  read messages.

  with the cursor on the first.

Add lines to message:
  Goto to line input mode, X return will exit back to EDIT> prompt. All
lines are added to the end of message. Line input on the bbs uses
TURBO-ATASCII(enhanced ATASCII). See next section TURBO-ATASCII features.
It supports 39 characters per line at 250 lines. v2.00 will support
editing of 400 lines. Messages created externally  can be up to 65k, this
feature may or may not stay in v2.00

Edit line(s):
  For editing one line at a time, enter the line you want to edit at the
"?line" prompt and it prints. Do any editing needed and press return on
the edited line. It can be 39 characters long, excess is cut off. Display
mode is on for printing(All graphics print up as characters, cursor up
prints as up arrow). A text only input mode with word wrap will be added
in v2.00  This setup will allow easy mixing of text and graphics. Also
for sending pre-made text files. I'm currently working on the designs.

  The includes support for edit muliple lines. Up to 22 lines at a time
can edited at once. At the "line?" prompt enter "X,Y" X=from  Y=to. The
screen clears the lines are printed with display mode on. Then one more
with "^" on a blank line. DON'T DELETE OR MOVE THIS ITEM!! Go edit the
lines, pressing return when needed. Now move the cursor to the carrot and
press return. Now list lines and wow, there are your changes! :]

Insert line(s):
  It asks for "line?". Enter the line where you want the text inserted
at. It will clear the screen and go into line input mode. When your done
enter "X" return on a blank line.

Delete line(s):
  Enter X(,Y), To delete one line just enter the line you want to delete.
To delete muli-lines enter from,to on "line?".

List lines:
  Press return for all lines in message. press "S" for list specific
lines. At "[start..end]  line?" enter from,to line numbers. Display mode
is on for ATASCII graphics.

Change subject:
  It prints the current subject. When your finished editing the line
press return on the new subject.

line Toggle on/off:
  This a special mode for ATASCII graphics. Normally the returns at the
end of each line need to be taken into account when creating them. With
line toggle on, those EOL's are turned off for Print message and Save
message, making fancy ATASCII graphics is now that much easier. It's
missing the current status after toggling("line toggle now on/off"), this
oversight will be corrected in v2.00.

Edit Macro:
  Edit repeatable line. It prints the current macro line(up to 39
characters). Edit the line, then press return on it. For sending this
line using this function press "_" in any line input(see line editor
functions). In v2.00, this will be expanded to include muli-line macros
and muliple macros.

Print message:
  This prints the message in the normal formating you would see a public
or private message. Display mode is off for printing, so all ATASCII
graphics appear as normal.

eXit message editor:
  This aborts current message, it asks for yes/no to be sure. Then exits
one level up.

Save message:
  saves current message to disk.

     That's it! Even through I wrote and designed it, I still look at it
and go "awesome!!"  :]

Design flaws:
     To achieve most of the ATASCII line editor and menus, you have to
have screen sync. That means your screen must match mine. In noisy lines
you'll have to clear screen frequently or call back again with hopefully
a clear line. In ATARI 8-BIT emulators, as long as the program matches
screen processing,  you should have no problems.

     This is trade off I had to make, this flaw can't be removed.
However, I will add functions in the future to better manage it.

     The data base design(message storage and structure) in v1.41 has
serious design flaws, which make it inefficent and create problems for me
in updating the code. They include message cycling, deleting, storage,
and max limits. I'm working on correcting the flaws now. Originally, I
rushed into coding before I through I thought through general layout and
design.

out all designs and problems first.

So, i'v been sitting on it for some time now, working through the designs
carefully. Hence, the ACTION! code has two lines, the title and author.
*smile*


Known bugs:
     I'v been unable to get baud detection to work since I started this
project. So, your interface must support flow control, such as the black
box(baud rate is 19.2k plus flow control, this allows me to accept all
incomming baud rates).

     The sysop's menu has a bug in the "Clear base" command I just found.
The rest of sysop commands work, but i'v found they are inadquit for a
sysop to manage the a bbs. For v2.00, I will add a complete list of
functions. Also, security aspects will be upgraded.

Module add on support:
     The bbs supports add on ACTION! programs(assembly requires you know
how to work with the ACTION! interface). The MLIB.ACT file make a number
of screen i/o functions available. Currently their two programs linked
into the bbs:
  Gambler's horse race(live action)
  Edit user preferences.

     NOTE: The files section is not included, I don't have the tech
knowhow to write the transfer protocals. Depending on memory space, it
should be part of the main program. Until I get the tech knowhow, someone
else will have to write it as a module.

     I'm going to be a tease here... both will blow you away!! And that's
all you'll get! :]   (ok one more, i'v seen many users get addicted to
horse race really fast!)

hardware requirement:
   version 1.41    XL or XE with ramdisk and hard drive.
   version 2.00   256k will be required additionally


     This is going to be a commerial product, i'v worked on it for too
long and hard to not make a profit. The final price considering all
things, including how few i'll sell. Not to mention how badly this
developer needs money. IT AIN't GONNA BE CHEAP! $100++  You'll of course
get a ton for that price: tech support, limited mods to the program to
suit your specific needs, free upgrades, new add on modules as I make
them, tech info for making modules, etc. For now, I can't provide that
kind of support, my life is just too hectic at the moment. So, sometime
soon when things settle down for me.

If you think i'm crazy for asking that much, are we all for still using
them?   *grin*

Hi Atarians!
Just wanted to let you all know that I've just released a NEW version
of the PC's Atari Disk Image directory lister and extractor XDIR.
The current version is now release 06.00.00.
Still freeware of course.
The new version has been totally redesigned, and the user interface
is a little bit more intuitive (at least I think it is).
This version supports Windows 95 as well now. It also runs under DOS
by the way.
Let me know what you think about it.

With the acquisition of Atari's deep library of game properties, Hasbro
Interactive seeks to strengthen its position in the action game category.

The largest insect invasion in history was recorded when Centipede hit the
arcades in the 1980s. ``Getting the bugs out'' was the mission in this

scorpions in order to re-claim the sacred mushroom patch.

The two games that gave birth to the video game industry were pioneers Pong
and Breakout. No fancy graphics were needed in these addictive thrillers -
just a good dose of quick reaction and hand-eye coordination would do the
job. Pong, the game of ``virtual'' handball, mesmerized gamers for hours as
they battled their friends and foes match after match. Breaking through
walls of bricks by ricocheting balls off of a video paddle was the simple,
but very addictive premise behind Breakout. The desire to get a better
score, kept the early gamers coming back for more.

        Just wanted to post that the Trenton Computer Fest (West Winsor, NJ)
will be held saturday and Sunday April 18th and 19th. Addmission is
$10.00 for both days for adults, $5.00 for Sunday only, Children under
12 are FREE on Sunday if acconpanied by an adult. Students with ID and
Seniors are $5.00 for both days.
        I will be hosting the Atari 8-bit forum on Sunday starting at 1 PM.
You'll also find lots of great 8-bit finds in the TCF flea market. I've
purchased complete systems (130XE and XF551) for less than $30.00. The
great part is that everything I've purchased there has worked!
        The show has over 1000 flea market vendor spaces, over 400 indoor
vendor spaces, over 100 seminars, forums and talks, Keynote speaker
Festival Dinner with LOADS of great door prizes (I once one a CD-ROM
drive which I use regularly!).
        This year there will be an Internet Cafe and selected seminars can even
earn you CEU college credits!!!

MYDOS 4.5 ON CART

Since this cartridge based MYDOS is different than the
standard MYDOS a few words on the main differences is
in order.  The differences include a reverse OPTION key
function at power up.  Now if you want BASIC you must
hold down OPTION at power up.  Another difference is the
Ramdisk configuration tables. The available bank bytes
are ordered from highest to lowest value which is more
compatible with the XE standard banks.  The default 
configuration is also in this highest to lowest order 
such that a novice is less likely to blow his Ramdisk
away without wanting too!!  To configure your Ramdisk
to not use the BASIC/XE banks choose page sequence 1
as per the MYDOS technical manual.

Another difference is a working MEM.SAV feature.  I 
don't know why MYDOS was released with a defective 
MEN.SAY in the first place but it is now working.  If
you are sharp you will notice that DOS.SYS has grown 
by one sector and DUP.SYS has shrunk by one sector.  The
code for the MEM.SAV feature was moved back to DOS.SYS
which is the only place it could work from and thus the
different sector counts.  The purpose of the MEM.SAV 
feature is to allow the user to preserve the portion of 
Ram that DUP.SYS loads into.  It is used for producing 
modified files that would normally be stomped on by 
DUP.SYS. When the MEM.SAV feature is active and DUP.SYS 
is called to be loaded into memory again, a copy of the 
area in question is saved in the file named MEM.SAV.  
When a (K)SAVE is used for that area and the MEN.SAV 
feature is active then MEM.SAV is loaded into the area 
prior to the (K)SAVE.  MYDOS's MEM.SAV feature is actually 
quite a step above other DOS s MEM.SAU in that the feature
can be deactivated by simply choosing the (L)LOAD memory 
option and then pressing return.  You don t have to put up 
with constantly loading and reloading MEM.SAV or deleting 
a MEM.SAV you would really like to keep, it can sit on your 
disk unchanged until you need it.  To activate MEM.SAV you 
use the (N)LOAD memory w/MEM.SAV option.  These two functions
are identical in every way except (L) turns off the MEM.SAV 
flag and (N) turns it on.  In either case no file actually
needs to be loaded, just a return will toggle the flag. 

The last difference is probably the most noticeable and that
is some of the menu prompts have been changed to reveal their
purpose more clearly. (N)LOAD memory w/MEM.SAV is one.  Set 
D:#/Subdirectory lets you know that here is where you can set
your default drive number or use a Subdirectory as your default
drive (D:).  A Subdirectory CAN be used as a drive, but first
one must be created by (Q)MAKE Subdirectory and then your files
are copied into that Subdirectory by using (C)COPY files. 

To use the cart, just plug it in and turn on your computer.
You don't even need any drives to have this DOS but that 
really doesn't make much sense to do.  The fastest boot time 
will result when you have two drives (1 and 2) turned on.
A disk does not have to be in either drive, hut to take 
advantage of the built in Ramdisk loader it is necessary to
have on a disk that has been formatted by this version of 
MYDOS, a Subdirectory entitled RARDISK:.  The files you want
loaded at boot up are then copied from the Subdirectory 
RAMDISK  into whatever Ramdisk # you set when you formatted
the disk.  If the Subdirectory RAMDISK: is not found on Dl:
or is empty, then you will get a ramdisk format and DUP.SYS
copied to the ramdisk only if the ramdisk # was set when you 
formatted the disk in the drive.  If there is no disk in the
drive then you do not get a ramdisk format or DUP.SYS copied
to the ramdisk, you have to do all that from MYDOS proper. 

To get BASIC you just hold down OPTION at power up. A second
is almost a second too long.  Your ramdisk can be loaded or 
at depending on what you have in Dl .  When the DOS menu 
appears stable, press RESET to enter BASIC with the Miami Valley 
ACES s WEDGE program already installed!!  It is a DOS like shell 
that operates from ASIC.  The commands are listed every 
time you press RESET and the wedge is still there.  It can be 
removed by typing KILL.  From then on you have only the BASIC 
Atari gave you.  Entering DIR will give you a directory of your 
default drive, and that drive can be changed by POKEing 1803 
with what ever drive number you have.  SCRATCH is the same as 
delete filespec. SPRINT will send to your printer a screen dump.
SD and DD stand for single and double density for those with 
drives that can switch densities. You can now read and write
as you please from BASIC. 

>From this DOS you can kill BASIC by (M) running at address 
$1ECO.  And you can also go to BASIC by (M)running at address 
$1EE5. These routines may not always be there as they are not 
protected, so some luck and judgement on your part is required.
Don't forget to kill your Basic with a run at $1ECO prior to 
loading a program with DOS that "lives" in high Ram as BASIC is 
a ROM that lives from $AOOO to $BFFF and you will lock up if there
is a conflict. 

Whether you choose DOS or BASIC, just to make sure your display 
list is where it should be you should press RESET when the DOS 
menu appears stable.  This is IMPORTANT!  It allows MYDOS to be 
entered correctly via DOSVEC instead of the patched entry required 
to give you the option of having BASIC. 

At the moment the cart is pulled this MYDOS looks for AUTORUN.SYS 
on Dl: and if not there then the other features are looked for.  
This was done to more closely mimic a disk based DOS. Your 
AUTORUN.Sys file should NOT be a Ramdisk loader for the pending 
self contained Ramdisk loader will do what it can to ruin 
the previous format.

To load the cartridge, make sure that the power is tuned off and 
that all cartridges have been removed.  This version of MyDOS will 
work on XL/XE COMPUTERS ONLY WITH AT LEAST 64K. Now plug in the 
mydos cartridge and turn on your computer. If you want to access
basic, wait for the "pull cartridge and hit reset" command to 
appear, then put one hand on your computer and firmly grasp the 
mydos cartridge. Now pull it out of your computer (this will 
not hurt it), then hit reset and you will be in basic. To lock 
out basic follow the same commands except at boot up hold down
the option button to lock out basic.

DEUCE 98

The Atari Users of North Texas (AUNT) Computer Exposition will be coming
again to Dallas this November in conjunction with the monthly DFW
XChange Super Saturday activities at the beautiful Dallas Infomart. Show
date is planned for Saturday the 14th. As with the last three DEUCE
shows, the actual show date will be finalized 120 days prior to the
exposition. The exposition, along with the Super Saturday activities,
charge no admission fees and are open to the general public. The one day
exposition is planned to begin at 8:30 AM and run until 4:00 PM. A
Friday evening pre-show get together and a post show get together are
also being planned.

November is still a great time to visit the Dallas Metroplex. The DFW
Xchange Super Saturday activities are a monthly computer extravaganza
where thousands of computer enthusiast get together, share their
computer interests and enjoy some of the best computer and high-tech
electronic buys in Texas. This November will be special for us Atarians
because many of our finest developers and dealers will be participating
in the activities.

The Dallas Infomart facility, a replica of the famous 1895 world fair
crystal palace, is located in the heart of the Dallas commerce district
at 1950 Stemmons Freeway (I-35E). The facility is leased by the DFW
Xchange each month to provide a community service to all computer users
in the  Metroplex area. The Atari Users of North Texas is one of many
participating user groups that help support this community service by
sharing our Atari computer interests, general computer expertise and
providing user assistance to our local Atarians and the interested
general public.

Vendors are being lined up. Systems for Tomorrow, chroMagic, Crawly
Crypt Corporation, and Emmulators have already expressed their interest
in participating in the show.  Vendors interested in participating can
